Announcement on the tender for selection of an independent audit firm of the acba bank group

The ACBA Bank Group (ACBA Bank OJSC and ACBA Leasing CO CJSC) (hereinafter – the Bank Group) announces a tender for the selection of an independent audit firm (hereinafter also – the Tender) for the purpose of conducting the independent audit of the Bank Group for 2026–2028.

The independent audit shall cover the audit of the annual financial statements of ACBA Bank OJSC and ACBA Leasing CO CJSC prepared in accordance with International Financial Reporting Standards (IFRS), including the accompanying notes. The financial statements shall include, in particular:

  1. Statement of Financial Position;
  2. Statement of Comprehensive Income;
  3. Statement of Changes in Equity;
  4. Statement of Cash Flows;
  5. Notes.

Audit firms eligible to participate in the Tender must meet the following criteria:

  1. Be a member of the Professional Organization as defined by the RA Law “On Regulation and Public Oversight of Accounting and Auditing Activities”;
  2. Have at least 5 years of experience in auditing a bank or insurance company.
    This requirement does not apply to audit firms that are full members of the top 10 international audit networks by annual consolidated revenue;
  3. The engagement partner of the audit firm must have:
    • at least 3 years of work experience as an auditor of a financial institution,
    • experience in auditing at least 5 financial institutions,
    • an auditor qualification granted by the Professional Organization, and
    • an international accounting or auditing qualification (for example: ACCA, CISA);
  4. At least half of the staff involved in the audit team must:
    • be members of the Professional Organization,
    • have at least 3 years of work experience in an audit firm, and
    • hold either an auditor qualification granted by the Professional Organization or an international accounting or auditing qualification (for example: ACCA, CISA);
  5. The independent audit firm must agree under the contract to be concluded to participate, upon invitation by the Central Bank of Armenia, in a tripartite meeting between the Bank Group companies, the audit firm, and the Central Bank to discuss the results of the external audit.

This announcement constitutes an invitation to make an offer, while the bids submitted by applicants shall constitute offers to the Bank Group.
The bids submitted by participating audit firms must include at least the following information:

  1. Participant details: name, registered address, telephone number;
  2. License details;
  3. Information on the firm’s audit experience;
  4. Information on the qualifications and work experience of staff involved in the audit;
  5. Information on the work experience of the engagement partner;
  6. Electronic notification address, telephone number, and contact person details.

The following documents must be attached to the bid:
Copy of the audit firm’s license;

  1. Copy of the document (certificate) confirming the engagement partner’s international accounting and/or auditing qualification (for example: ACCA, CPA, CISA);
  2. Copies of documents confirming the international accounting and/or auditing qualifications (for example: ACCA, CPA, CISA) of the audit team members or auditor qualifications granted by the Professional Organization;
  3. Draft contract for the provision of audit services;
  4. Fee proposal for audit services;
  5. Any other documents required by the Bank Group.

Tender bids shall be submitted to ACBA Bank OJSC either in person or by registered mail to the following address:

Bids are accepted from 1 February 2026 to 15 March 2026 inclusive, on working days from 09:00 to 17:30.

Bids must be submitted in a sealed, stamped, and signed envelope (if no stamp is available – signed only).

Bids that do not comply with the requirements of this announcement and the procedure for selection of an independent audit firm of the ACBA Bank Group, as well as bids submitted after the deadline, shall be rejected without opening and returned to the applicant.

Participants may amend or withdraw their bids prior to the submission deadline.

Bid amendments shall be made by marking the envelope with the word “Amendment”.

No advance payment is required to participate in the Tender.

Bids shall be opened during the meeting of the committee(s) attached to the Board.
The independent audit firm shall be selected by the General Meetings of the Group companies in accordance with the established criteria.

Following approval by the General Meeting, the selected audit firm shall be notified by email at corporatesecretary@acba.am, while other participants shall be informed that they were not selected.

After approval by the General Meeting, an audit services agreement shall be concluded with the selected firm within a reasonable period, no later than 1 October 2026.

If the winning bidder refuses to sign the contract, it shall be obliged to compensate the Bank Group for the actual damages incurred.

The Bank Group is supervised by the Central Bank of the Republic of Armenia.
